General Terms and Conditions

§ 1 Scope of Application

(1) These General Terms and Conditions (GTC) apply to all contracts between Medastra Inc. (hereinafter "Medastra" or "we") and our clients (hereinafter "Client") regarding the placement of medical professionals.

(2) Deviating conditions of the Client shall not be recognized unless we expressly agree to their validity in writing.

§ 2 Subject Matter

(1) Medastra provides recruitment and staffing consulting services in the healthcare sector.

(2) Our services include in particular:

• Direct placement of physicians and nursing professionals
• Staffing consulting and talent search
• Support with relocation and onboarding
• Advice on employment law matters

§ 3 Placement Fee

(1) The placement fee is agreed individually and specified in the respective assignment.

(2) The fee becomes due upon signing of the employment contract between the Client and the placed candidate.

(3) Payments are to be made within 14 days of invoicing without deduction.

§ 4 Replacement Guarantee

(1) If a candidate placed by us leaves the Client's company during the probationary period, we will search for a replacement candidate free of charge.

(2) This guarantee does not apply in case of termination by the Client or termination for operational reasons.

§ 5 Client Obligations

The Client undertakes to:

• Provide complete and truthful information about the position
• Inform Medastra immediately about the hiring of a presented candidate
• Treat candidate profiles confidentially and not share them with third parties

§ 6 Liability

(1) We are liable without limitation for damages resulting from intentional or grossly negligent breach of duty.

(2) In cases of minor negligence, we are only liable for breach of essential contractual obligations, limited to typical, foreseeable damages.

§ 7 Confidentiality

Both parties undertake to treat all information received in the course of cooperation as confidential and not to disclose it to third parties.

§ 8 Final Provisions

(1) The law of State of Wyoming applies.

(2) The place of jurisdiction for all disputes arising from this contract is Sheridan, Wyoming, provided the Client is a merchant.

(3) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
